Colleen is a partner at Seyfarth, where she focuses on commercial finance, complex commercial agreements, and general corporate law across a variety of industries. Dedicated to innovation and process improvement, Colleen leverages technology and project management tools to create streamlined workflows and enhance productivity in her practice. By standardizing processes, she and her team assist clients ranging from specialty lenders to multinational corporations with high volumes of transactional, commercial, and technology contract work streams.
Colleen actively counsels and represents lenders in various types of commercial finance transactions, such as asset-based, receivables-based, and cash flow loan transactions, syndications, loan acquisitions, participations, and workouts of credit facilities, with a specific focus on the health care industry. In addition, Colleen has served as borrower and guarantor counsel for health care, educational, and cultural institutions in connection with numerous tax-exempt financings.
As the lead of the firm's commercial contracts team, Colleen manages the entire life cycle of a contract, from initial negotiation to advising on pre-litigation approaches when issues arise. Colleen has a keen focus on understanding her clients' strategic business goals, supply chain, and global procurement needs in connection with providing support on transactions related to the same, including negotiation of purchase agreements, service, manufacturing, design, distribution, logistics, consulting, and energy agreements. She regularly advises on complex technology transactions, including SaaS agreements, hosted service agreements, software licensing, hardware procurement, and maintenance contracts, as well as the legal implications of artificial intelligence in commercial agreements.
Colleen also has prior experience in mergers and acquisitions and bankruptcy, including representing clients in connection with acquisition of distressed businesses. Prior to entering private practice, Colleen served as the law clerk to the Honorable Susan V. Kelley of the United States Bankruptcy Court for the Eastern District of Wisconsin. Colleen brings the insights gained during the clerkship into her transactional practice to navigate intricate statutory frameworks, anticipate potential disputes, and, in turn, structure agreements that will protect clients' legal and business interests.
Colleen is the chair of the Chicago Corporate department, a member of firm’s the Lawyer Development Committee, and co-chair of the Community Service Committee for the Chicago office.
