Strategic and Compliance-Related Employment Law Projects

  • We devised and assisted in implementing a global HR-related data privacy compliance strategy for one of the world’s largest technology companies to facilitate its lawful collection, use, movement and retention of its 90,000 workers’ personal information around the world in more than 100 countries. This was one of the largest and most complex projects of its type ever completed.
     
  • We designed the strategy, drafted the documents and assisted with the implementation of the global employment structure and country-specific arrangements covering operations in more than 75 countries in Asia, Europe, the Middle East and Latin America for a pharmaceutical research business.
     
  • We advised on the local language and documentation requirements for HR-related documents for employees in 47 countries in Asia, Europe, the Middle East and Latin America for one of the world’s largest consumer brands.
     
  • We advised on the health and safety legal obligations across Europe and provided in-person pan-European training for plant managers for one of the world’s largest manufacturers.
     
  • We advised on the employment arrangement options, strategy and employment structure for employees going on international assignments on a global basis for one of the world’s largest construction companies.

  • We analyzed the requirements, advised on the options, developed the implementation strategy, drafted the documents and assisted with the implementation of the global employment structure and country-specific arrangements covering a medical device company’s operations in Europe, Asia and Latin America.
     
  • We advised on the obligations and requirements for conducting various types of background checks in Asia, Europe and Latin America for a variety of U.S. and non-U.S. multinational companies.
     
  • We advised on the issues surrounding the use of long-term independent contractors across Latin America, including risk minimization strategies.

Transactions and Workforce Integrations

  • We assisted with all of the international employment aspects of a US$5.7 billion acquisition of a biotech/pharmaceutical company with operations in over 30 countries. We conducted due diligence and advised the client regarding employment integration matters, including works council and employee representative consultations. We prepared and managed the roll-out process for non-competition agreements for high level executives in 16 countries.
     
  • We assisted with a US$3.3 billion post-acquisition employee integration of employees into a technology company’s existing entities across Asia, including developing strategies for integration, redundancies and harmonization of conditions of employment.
     
  • We assisted with the international employment aspects of the sale of a large aerospace unit, including the mandatory works council and employee representative consultations which preceded the sale and the transition of employees to the buyer. We also managed the employee transition process, including the preparation of employment and termination agreements, consultation documents and employee transfer notifications.
     
  • We assisted with the US$3.2 billion post-acquisition employee integration of a major technology company’s employees across Asia, including developing strategies for integration, redundancies and harmonization of conditions of employment.
     
  • We assisted with the US$2.9 billion post-acquisition employee integration of a major technology company’s employees across Asia, including developing strategies for integration, redundancies and harmonization of conditions of employment.
     
  • We assisted with all international employment aspects of the acquisition of a global software company. We conducted due diligence and advised the client regarding purchase agreement provisions, employment integration matters and prepared and managed the employee transition in Europe, Asia and Canada.
     
  • We assisted with the US$1.3 billion international employment aspects of the acquisition of a global internet security business. We advised the client regarding purchase agreement provisions and integration strategies for employees on a global basis.
     
  • We assisted with all of the international employment law issues as part of a multi-billion joint venture, including employment transfer and consultation issues and transaction structure and deal documents, to create a global consumer business in over 30 countries.

Data Privacy & Security Projects

  • We represented a U.S. multinational engineering and construction company on a global privacy compliance project that involved assessing the company’s flows of personal data across its global operations – 50+ countries in Europe, Asia, North America, Latin America, the Middle East and Africa – and designing and implementing a compliance program to ensure the lawful cross-border transfer of the data. We advised on the issues and designed the compliance program and are currently assisting with its implementation, including preparing policies, notices, consents, agreements and training materials.
     
  • We represented U.S. publicly-traded multinational technology infrastructure industry company on a global data privacy project that was one of the largest and most high profile of its type ever undertaken. Given the company’s critical role in the technology industry on a truly global basis and its tendency to be heavily scrutinized from a data protection perspective, it was essential that the client took a leadership position in its internal data privacy practices. The project was centered on the flow of the company’s workforce and contractor data across 130 countries. We worked with the company to develop compliance tools, including global policies, agreements, notices, consents, procedures, processes, guidelines, codes, forms and standards, to define the company’s global approach to protect the personal data of its nearly 100,000 workers. Our team developed a practical and innovative strategy to be legally compliant and to meet the company’s commercial needs. The project involved complex issues requiring an understanding of the legal requirements across multiple jurisdictions, the commercial constraints within which the company operates and the company’s values and goals.
     
  • We represented a U.S. publicly-traded multinational company in the memory technology industry in a global data privacy project that involved auditing the company’s collection, use, transfer, disclosure and retention of human resources data among its operations throughout Asia, Europe, North and Latin America and the Middle East, and formulating a strategy to ensure the company’s lawful cross-border transfer of that data. We worked with the company on its certification with the U.S. Department of Commerce’s Safe Harbor Program and prepared cross-border and third party contracts, employee notices and global policies, procedures and guidelines that reflected the company’s standard for protecting personal data. We also addressed the company’s global registrations with the various local Data Protection Authorities around the world.
