James O’Brien is a partner in the Real Estate Practice Group of Seyfarth Shaw LLP’s Washington, D.C. and San Francisco offices.

Mr. O’Brien has experience in real estate acquisitions and dispositions, real estate financing and restructuring transactions, leasing transactions, and joint venture formation. He has worked on transactions involving all types of commercial and residential real property, including development property, office buildings, hotels, resorts, multi-family projects, mixed-use projects, and other commercial properties. Mr. O’Brien has represented clients such as Stockbridge Real Estate Funds, Jamestown Properties, Buchanan Street Partners, LACERA, Fisher Investments, Acadia Realty, and Prescott Partners.

Among his representative engagements, he:

  • Represented borrower in connection with a $185 million refinancing of a hotel and casino located in Las Vegas, NV.
  • Represented buyer in connection with the $106 million acquisition of a multi-family project located in San Francisco, CA and the $40 million acquisition financing arranged by Pacific Life in connection therewith.
  • Represented equity partner in connection with a $45 million equity investment in a three-building, 400,000 square foot office complex in suburban Denver, CO, including negotiation of a joint venture agreement with sponsor and representation of the joint venture in connection with a $37.8 million acquisition loan arranged by Bank of America. 
  • Represented buyer in connection with the $20.5 million acquisition of a 2.5-acre city block in Berkeley, CA for redevelopment and repositioning as a mixed-use project.
  • Represented equity partner in connection with $18 million equity investment in 629-unit apartment community in Phoenix, AZ, including negotiation of a joint venture agreement and property management agreement with sponsor.

Mr. O’Brien is a member of the firm’s Pro Bono Committee.  His pro bono practice has included work for the Legal Aid Society of San Mateo County and Community Legal Services of East Palo Alto.

Representative Engagements

  • Represented buyer in connection with the $120 million acquisition of a six-building, 440,000 square foot office complex in San Jose, CA.
  • Represented buyer in connection with the $220 million acquisition of an office building in San Francisco, CA and the $130 million acquisition financing arranged by Massachusetts Mutual Life Insurance Company in connection therewith.
  • Represented buyer in connection with the $94 million acquisition of an office building in San Francisco, CA and the $46.5 million acquisition financing arranged by Bank of America, N.A. in connection therewith.
  • Represented buyer in connection with the $345 million acquisition of a hotel and casino in Las Vegas, NV and $288 million in senior and mezzanine acquisition financing arranged by Greenwich Capital in connection therewith.  Negotiated joint venture agreement and development management agreement for the repositioning of the hotel with SBE Entertainment Group who acts as manager for the project.
  • Represented seller in connection with the $260 million disposition of a three-building, 425,000 square foot office complex in Sunnyvale, CA.
  • Represented equity partner in connection with $17.5 million equity investment in a 25-acre retail development site in San Jose, CA.  Negotiated joint venture agreement and development management agreement with Hunter/Storm, LLC, who is sponsor and development manager for the project.
  • Represented equity partner in connection with $12.5 million equity investment in four industrial buildings and a 25-acre development parcel in Charlotte, NC. Negotiated joint venture agreement, property management agreement, and leasing agreement with Trinity Capital Advisors, who acted as sponsor of the investment and who manage and lease the property for the joint venture.
  • Represented mezzanine investor in connection with UCC foreclosure of security interest in mezzanine collateral and subsequent refinancing of senior indebtedness secured by a portfolio of nine hotel properties. Negotiated $67 million mortgage loan, $38 million senior mezzanine loan, and $15 million junior mezzanine loan arranged by JPMorgan Chase Bank, N.A. in connection therewith.
