Robert L. Bodansky is the managing partner in the Washington, DC office of Seyfarth Shaw LLP and Chair of the firm’s Institutional Investor Practice. His practice emphasizes mergers and acquisitions, alternative investments and real estate transactions.

Mr. Bodansky serves as investment counsel to some of the largest public and private pension funds in the country, representing them in connection with their investments in private equity funds, hedge funds, direct equity, separate accounts, club deals, fund of funds and other pooled investments. The investments cover all sectors and include both domestic and off-shore transactions.

In the business arena, Mr. Bodansky works with businesses and investors in connection with all manner of commercial and financial transactions. He is regularly called upon to represent companies in connection with mergers, acquisitions, sales and financing (including both traditional and venture capital financing) and serves as outside general counsel to a number of privately held businesses. The emphasis of his M&A practice is the government contractor sector in general and, in particular, those government contractors involved in defense or homeland security. He represents U.S. and foreign buyers and sellers. Mr. Bodansky also is involved in the co-location of foreign companies to the United States and in cross-border transactions. His clients include a broad range of local, regional and national businesses, as well as multinational companies operating in the United States, Canada, Europe, the Far East and Latin America.

Mr. Bodansky’s real estate practice focuses on the sale, acquisition, development, financing and leasing of commercial properties. In addition to his work with private owners and developers, Mr. Bodansky represents public pension funds in their acquisition, disposition and management of real property, and helps them structure joint ventures and other transactions in a way that addresses the tax and other issues specific to these funds. He also represents national and regional office, retail and industrial tenants in their development and leasing of space around the country.

Representative Engagements

  • Represented government plan in proposed €440 million acquisition with three co-investors of a European bank, which focuses on real estate finance around the world. 
  • Represented British defense contractor in its acquisition of several U.S.-based defense contractors, addressing the various regulatory (Exon-Florio/CFIUS and export control) issues attendant to those transactions. 
  • Represented government plan in $250 million investment in global hedge fund focused on risk adjusted long term returns. Cayman fund with master-feeder structure.
  • Represented government plan in $250 million investment in a global hedge fund utilizing a strategy to achieve positive returns in environments when uncorrelated asset classes become correlated.
  • Represented government plan in $200 million investment in acquiring a minority equity interest in the parent company of an international sports enterprise.
  • Represented government plan in proposed $100 million investment in a Cayman hedge fund seeking to gain medium term returns in excess of global equity markets.  Focus is on short positions in Asian markets, primarily Japan and China.
  • Represented government plan in $100 million investment in an English limited partnership (private equity fund) seeking to build a diverse Mezzanine portfolio funding commercial real estate assets located in major Western European markets (primarily in the U.K. and Germany).
  • Represented government pension fund in $100 million investment in a private equity fund focused on timber in North America, South America and Australia.
  • Represented government pension plan in $100 million investment in a private equity fund focused on investments in securities of listed companies in Europe and North America. Investments cross industry sectors.
  • Represented government plan in connection with $100 million investment in a global real estate focused fund.
  • Represented government plan in structuring and negotiating $100 million separate account transaction focused on U.S. and international timber. 
  • Represented government plan in $80 million investment in a hedge fund structured as a Delaware limited partnership. The fund is focused on identifying undervalued companies globally.
  • Represented government plan in $75 million investment in a Japanese real estate focused private equity fund. Represented lead investor and negotiated the underlying fund documents.
  • Represented government pension plan in $70 million investment in a private equity fund focused on the acquisition of Asian real estate and related debt. Cayman fund with master-feeder structure.
  • Represented Canadian company in its proposed acquisition of several U.S. based telecommunications companies, addressing applicable regulatory and cross-border tax issues.
  • Represented government plan in $40 million investment in private equity fund focused on Brazilian and Latin American real estate.
  • Represented government plan in $30 million investment in a Japanese and Asian focused hedge fund. Cayman limited partnership with master-feeder structure.
