Robert S. Winner is a Partner in the Chicago office of Seyfarth Shaw LLP. As a member of the firm's Corporate department, Mr. Winner focuses his practice on mergers and acquisitions, corporate and energy finance, venture capital, private securities offerings, and general commercial transactions.
 
Mr. Winner has more than 18 years of transactional experience working with both startups, developers and Fortune 500 companies. In addition to representing traditional Midwest manufacturing and distribution companies, he represents national energy and clean technologies companies, with a focus on oil and gas exploration and production assets, and renewable energy projects, including solar, wind, biofuels, biomass and waste-to-energy ventures.  His experience extends to beyond general corporate and M&A practices to negotiating and drafting specialized commercial contracts in project construction and finance, power purchases and related interconnection agreements, technology licenses, fuel supply contracts and feedstock agreements.

  • Represented sponsor of a newly-formed oilfield services holding company in connection with a “roll up” acquisition of four oilfield services companies, including a publically high yield debt financing.
  • Represented the management team and holders of oil and gas interests in connection with an equity exchange offer of interests and related secured loan facility.
  • Represented waste-to-energy developer in connection with a multi-plant financing, including multiple tranches of New Market Tax Credit financings, senior and subordinated loan facilities, and equity raises.
  • Represented a commercial real estate developer in connection with the acquisition of a portfolio of suburban office properties, including an equity raise, senior and subordinated financing.
  • Represented a biofuels refinery developer in connection with a joint development to construct renewable diesel refinery, including equity and construction loan financing.
  • Represented the majority owner of a leading national beverage retailer in connection with a sale and recapitalization of the company.
  • Represented a startup waste-to-fuels concerns in connection with its equity securities offering, secured loan financing and related fuel supply contracts.
  • Represented an oil and gas exploration and production company in connection with a sale of oil and gas properties in West Texas and New Mexico.
  • Represented the venture capital arm of a Fortune 500 telecommunications company as the lead investor in connection with a series of preferred stock and debt investments in various software and hardware companies, including commercial development agreements.
  • Represented a U.S. subsidiary of a global bank in connection with a syndicated secured loan to a publicly held international company and its U.S. subsidiaries
  • Represented a web-based healthcare content provider in connection with a series of bridge loans and the subsequent sale of preferred stock and conversion of bridge loans.
  • Represented a Fortune 500 company in connection with a sale and outsourcing of its U.S. and Mexican food service operations to a global food services contractor.
  • Represented the management team of a national technology consulting and leasing company in connection with a ESOP redemption of its majority shareholder.
  • Represented a U.S.-based home products company in connection with the acquisition of assets and related intellectual property out of bankruptcy court from a Canadian-based company.
