Representative Engagements

International Experience
 
• Coordinated strategic global projects including global employment contracts and policies, restructurings and M&A. Additional projects include advising on the creation of European-shared service centres, which involved anticipating changes to UK law on TUPE and collective redundancy during the course of the projects.
 
• Drafted and negotiated cross-border sale and purchase agreements, including providing strategic advice to a client considering options as to how to dispose of non-profit making contracts in approximately 10 EMEA and APAC locations, where the priority was to secure the ongoing employment of the employees in the business without cost to the client.
 
• Advised on expatriate arrangements and conflicts of laws disputes, including structuring assignments to minimize the risk of the application of local law, advising on termination of assignments within Europe and APAC to deal with local and home country employment and minimizing costs. Also advised on application of working time legislation to multi-country secondment to offshore client in the energy sector. 
 
Transactional Experience
 
• Various outsourcings acting for service provider and service recipient, including advising financial services client on outsourcing of roles of c. 1000 of its support functions in the UK and India involving union negotiations and issues of scoping and enhanced TUPE protection.
 
• Acting on all aspects of share and asset sales, from negotiating the sale and transitional services agreements to practical advice on information and consultation exercises and post-completion integration. A recent project involved leading European team advising on employment aspects of integration of pharmaceutical sector, balancing the need to achieve synergies and minimize client impact against co-employment, illegal lending and TUPE issues.
 
UK Advisory Experience
 
• Advising U.S. start-up on UK employment issues including restrictive covenants and incentive plans, restructurings and exits. 
 
• Compliance and investigations: Advised on large-scale investigation for global company with multiple stock exchanges listings. Achieved outcome of no cost removal of senior management team.
 
• Advising financial services client in sex and disability discrimination claim, including threatened injunction proceedings in context of dismissing for redundancy where employee applications for long term disability benefits and ill health early retirement were underway.
