Clay provides general legal and business advice and documentation for domestic, foreign-owned and multinational businesses.
He has experience in the following areas: providing general counsel to manufacturing and sales companies, including US operations of multinational companies; divestitures, acquisitions and mergers; business financing transactions; contracting for production and engineered projects and processes; negotiating marketing and distribution arrangements for sales of goods and services; technology licensing and joint ventures; and antitrust and trade regulation.
Clay was a member of the US Navy from 1968 to 1973, and served in the Navy Reserve until 1993.

Represented Atlanta-area manufacturer of multiple product lines of equipment for the industrial gas industry in the sale by its several hundred shareholders to publicly traded Japanese-based manufacturer.
- Assisted group of former executives obtain institutional financing and purchase from an alumina refinery on the Texas coast near Corpus Christi, with gross revenue of about half a billion dollars and including port and waste disposal facilities. - Assisted an Atlanta-based specialty engineering company establish a separate company to develop and license patented products for fuel cell manufacturers.
- Assisted a global electronic components manufacturer reorganize its independent relationships with North American sales representatives and distributors.
- Assisted German engineering firm acquire controlling interest in United States engineering firm.
- Assisted local bank merge its wholly owned Virginia-based financing subsidiary into another subsidiary.
