Gregory Markel to serve as chair for CLE program “Special Board Committees,” sponsored by NYCLA and The Deal

Gregory Markel, a partner in Seyfarth’s Litigation Department, will serve next month as program chair for “Special Board Committees,” a pair of panel discussions co-sponsored by NYCLA’s Center for Corporate Governance and The Deal. The event — Wednesday, January 11, 2017, at The Yale Club in New York — will focus on the role of special board committees in investigations, litigation, and transactions.
 
Along with his responsibilities as program chair, Mr. Markel will serve as moderator for the event’s first panel, “Special Committees for Investigations and Litigation.” That panel will discuss:
  • the roles of special committees in investigations and litigation
  • defining the scope and delegation of authority
  • demands on boards, conflicts, and independence
  • extent of inquiry
  • legal standard for adequacy of investigation
  • special committee reports to the board, both written and oral
  • waiver of privileges
The event’s second panel, “Special Committees for Evaluating Transactions,” will discuss committee creation and related topics. A networking reception will immediately follow the program.
