Seyfarth Represents US Shale Solutions in its North American Acquisition of Four Energy Service Providers

ATLANTA - (August 26, 2014) - Seyfarth Shaw LLP represented US Shale Solutions, Inc. in its simultaneous acquisition of four companies, three domestic and one Canadian, all providing services in the oil and gas industry. The successful closing transformed US Shale Solutions, Inc. into a more than 2,700 employee enterprise. The acquisitions were financed, in part, by an offering of US $210 million in high yield bonds.

US Shale Solutions, Inc. acquired Ritter Construction Company,an oil and gas industry services contractor; W. Pidhirney Welding, Ltd., a Canadian oilfield service and welding fabrication company; Culberson Construction, Inc., an energy service provider to land-based exploration and production companies; and J4 Fluid Services, Inc., an integrated completion fluid/drilling fluids and high pressure pumping services company. 

The transaction was sponsored by Foxcode, Inc., a Philadelphia-based merchant bank and investment bank.
