About the Program

After the Supreme Court stayed a nationwide injunction on January 23, the U.S. District Court for the Eastern District of Texas lifted the last remaining nationwide injunction, reinstating the Corporate Transparency Act's BOI reporting requirements. In response, FinCEN announced that it was expanding the reporting deadline by 30 days, setting a new filing deadline of March 21, 2025. However, on February 27, FinCEN announced a temporary pause on enforcement actions until an interim final rule is issued, expected no later than March 21, 2025. The Treasury Department then expanded this relief, stating that even after the interim rule takes effect, penalties will not be enforced against U.S. citizens, domestic reporting companies, or their beneficial owners, while proposing to limit BOI reporting to foreign entities.

In this webinar, members of Seyfarth’s CTA Task Force will explore these recent developments and provide a timely refresher on current filing obligations. They will also identify practical compliance strategies and related best practices as we await further guidance from FinCEN.
