For nearly three decades as a corporate and transactional attorney, Alan has focused on clients of all sizes, from closely held early-stage businesses, to mature midmarket enterprises, to large public reporting companies and other institutions, at all stages of their corporate evolution. And during that time, Alan has led numerous transactions, from small seed round financings and other forms of startup work, to multibillion dollar acquisitions, sales, and securities offerings. In each of his engagements, Alan strives to leverage the breadth of his experience when counseling clients, regardless of client size or deal magnitude.
During his career, Alan has represented public and private organizations including real estate investment trusts (REITs), securities intermediaries such as underwriters and placement agents, venture capital firms, private equity firms, financial institutions, and professional service firms. Alan’s industry experience includes commercial real estate developers; sponsors and capital partners; aerospace; cargo air; hospitality; health care; the accounting, engineering, and law professions; insurance and insurance intermediaries; telecom and internet providers; health sciences; medical devices; and others.
In addition to his general corporate and commercial counseling, Alan has in-depth experience leading and advising with respect to mergers and acquisitions and other business combinations, change-in-control transactions, so-called 13e-3 going-private transactions, public company special committee counseling, regulated and nonregulated tender offers, spinoffs and splitoffs, structuring joint ventures and other partnering arrangements, establishing pooled investment vehicles, business breakups, dissolutions and divorces, special purpose acquisition companies (SPACs), private investments in public equity (PIPEs), recapitalizations and reorganizations, public (listed and nonlisted) and private REITs, and public company (Securities Exchange Act) reporting and compliance.
Alan also represents high net worth individuals and family offices with respect to their acquisitions and divestitures of equity, debt, and hybrid interests in various investment funds and other pooled investment vehicles.
Prior to law school, Alan worked in the public accounting industry, where he became well versed in corporate finance, financial accounting, and auditing issues and domestic taxation. Alan is a licensed certified public accountant in the state of New York. By virtue of his accounting and financial experience, he is often called upon to counsel on matters regarding tax-efficient structures and transactions, such as tax-free reorganizations, like-kind exchanges, so-called mixing bowl transactions, long-term incentive plans, and equity-based compensation schemes.
