Diane works with clients on establishing and conducting appropriate benefits governance and fiduciary compliance processes—critically important in this era of intense scrutiny.

As chair of Seyfarth's Employee Benefits & Executive Compensation department, Diane leads a large tight-knit group of employee benefits and executive compensation attorneys who provide strategic solutions to clients of all sizes and varying industries.
She is passionate about helping clients establish, implement and administer qualified and nonqualified retirement plans, as well as health and welfare plans. Diane counsels and trains clients on benefits operations and tax concerns, fiduciary governance, HIPAA privacy compliance, health care reform, and wellness programs. When needed, she also defends clients in audits by government agencies, including the IRS and Department of Labor.
When corporations have matters relating to executive compensation, they turn to Diane to guide them through the preparation of employment and severance agreements, and issues relating to stock options, restricted stock and performance-based compensation. Diane also handles the corporate transactional and cross-border aspects of employee benefits issues.
Diane has spent more than 30 years focused on the rules and regulations of corporate employee benefits. While most of her experience has been gained in private practice, during her career Diane was also in-house counsel, giving her an insider's view of the compliance, cost, and counseling pressures faced by employers.
