Evan represents institutional investors in all legal matters related to their private alternative investments. He also focuses on private equity transactions, mergers and acquisitions, and financing transactions involving debt and equity offerings. In the alternative investments space, Evan has represented institutional investors in their investments over a diverse array of strategies, including venture capital, growth equity, buyout, private credit, subordinated debt, mezzanine equity, infrastructure debt and equity, real estate (core, value-add, and opportunistic), timber, cropland, and hedge/open-ended, among others. He also represents clients in the legal matters of co-investments, alternative fund structures (including funds of one, separately managed accounts, parallel/feeder structures, AIVs, and collective investment trusts), secondary sales, and managing their securities lending, custody agreements, and derivatives trading programs.
In addition to his experience in private practice, Evan has significant industry experience, serving as senior counsel for a large Fortune 100 insurance company, where he worked with the company's investments office on a wide variety of legal matters, including commercial mortgage lending transactions, real estate tax credit transactions, structured finance transactions, private placements, project finance transactions, liquid alternative strategies, and derivatives trading, in addition to his core responsibilities with the private equity, real estate funds, private credit, and venture capital teams. He also spent a semester in law school working at the Securities and Exchange Commission in the Division of Trading and Markets.
