Opportunity zone and EB-5 programs offer companies the occasion to raise capital at a lower cost. The rules governing these programs are constantly developing and evolving. Clients look to Mark to stay on top of the latest requirements and provide creative solutions to the legal and operational challenges presented by these programs.
Over the course of his career, Mark has worked with varied types of collective investment vehicles subject to unique forms of regulation, including registered investment companies, business development companies, and special purposes acquisition companies (SPACs), as well as more conventional private funds and with EB-5 and opportunity zone funds. This breadth of experience has enabled mark to quickly understand the nuances of esoteric investment vehicles and how best to structure such vehicles for his clients' advantage.
In addition to nearly 20 years of practice at Seyfarth, Mark has also served for years as in-house general counsel to a financial services firm where he successfully fought against the labelling of his department as the "sales prevention team." This experience provided Mark with insights into the day-to-day challenges of operating business that he employs in the service of his clients.
In a practice area that can be dominated by outsize personalities, Mark prefers to listen and observe. He finds this helps him truly understand the needs of his clients in a given transaction.
Mark enjoys the opportunity to work with talented Seyfarth attorneys in many disciplines. In turn, this allows him to provide quality, full service representation to his clients. Mark is also grateful for the chance to work across the corporate and securities space, ranging from advising startup and registered broker-dealers to the formation of Delaware statutory trusts and opportunity zone, EB-5, and other types of funds. As part of an interdisciplinary effort with the firm’s Cannabis and Derivatives practices, Mark has also advised public funds seeking to directly and indirectly invest in cannabis companies and provided the requisite legal opinions provided by the Securities and Exchange Commission.
