The laws governing employee benefit plans are ever-changing and complex. Nancy simplifies legal issues for corporate counsels, HR professionals, record-keepers, third-party administrators, and other service providers.
Nancy provides legal advice on the design and administration of employee benefit plans, including single- and multiemployer qualified plans, such as 401(k) and union pension plans, nonqualified retirement plans, welfare plans, and fringe benefit plans. She also advises clients on the legal matters of compliance issues, including ERISA fiduciary duties, Affordable Care Act, HIPAA, COBRA, domestic partnership, withdrawal liability, plan administration errors, and QDROs. Nancy has extensive experience working with the US Department of Labor (DOL) and Internal Revenue Service (IRS) to resolve compliance errors through the DOL’s remedial programs, such as delinquent filer voluntary compliance program and voluntary fiduciary correction program, as well as the IRS’s self-correction program and voluntary correction program. She negotiates with the DOL and IRS to resolve penalties assessed against companies and benefit plans such as employer share responsibility payment and penalty for failure to file Form 5500.
Nancy also advises clients on legal matters relating to benefit plans and executive compensation in mergers, acquisitions, dispositions, and reorganization. She negotiates benefits representations and warranties and covenants in the purchase agreement, and advises on assumption and termination of retirement and welfare plans, transfers of plan assets, spinoffs, and consolidations of qualified retirement plans.
