Our Public Finance & Economic Development team is at the forefront of structuring creative public finance and incentive packages and understands what it takes to get the deal done. With our experience in virtually all areas of local authority and government law, municipal bond financings, conduit financings, and credit and tax incentive packages, our clients gain an integrated, comprehensive service solution spanning a range of infrastructure asset classes.
Our team has decades of experience and has collectively been involved in billions in governmental debt issues for some of the country’s most high-profile projects. Our attorneys are listed in The Bond Buyer’s Municipal Marketplace (the "Red Book"), created the bond for title model in Georgia, and have been instrumental in the creation and certification of tax allocation districts (TADs, or in other states, TIF districts) from start to finish. This depth of experience gives clients confidence that there are very few financing models or situations we have not encountered.
We serve as borrower’s counsel, authority counsel (issuer’s counsel), bond counsel, underwriter’s counsel, trustee’s counsel, special tax counsel, disclosure counsel, and bank counsel. We also devote a significant portion of our practice to tax-exempt financing work, including tax-exempt financing transactions for 501(c)(3) educational and cultural institutions, healthcare organizations, 501(c)(3) and for-profit developers of multifamily housing, 501(c)(3) community-based organizations, and industrial development. Our attorneys have a broad knowledge of both state laws relating to bonds and—in the case of tax-exempt bonds—the highly complex and nuanced federal tax provisions applicable to bonds.

Represented an Authority in an innovative ground lease structure to provide land, site improvements, infrastructure, and other incentives for a large foreign automotive supplier’s new $100 million plant.

Represented a Development Authority as bond counsel in a $440 million complex transaction involving the issuance of three series of taxable revenue bonds. The project required innovative financing structures to accommodate the vertical mixed-use development offering live-work-play-shop opportunities in an urban environment.

Represented a defense contractor in the comprehensive agreement for the consolidation of multiple ground leased parcels of land on a commercial airport, with the assignment of the master ground lease to a state agency created for economic development purposes for the aerospace industry.

Represented a developer in connection with the multitier financing of an ethanol plant expansion project, which included two equity financings completed in both the US and the UK, two debt financings, and a subordinated debt tax exempt bond financing. In total, we raised in excess of $210 million for the client.

Represented a large lender in navigating the economic development incentive model for its loan related to a $350 million office and mixed-use development project for a Fortune 100 company.
