Represent an office and multifamily REIT in SEC and stock exchange reporting and compliance, as well as capital raising, financing, and acquisition transactions in excess of $5 billion.

Provide ongoing representation involving all matters for a publicly-traded REIT that specializes in the acquisition, re-development, and operation of retail and urban mixed-use properties. Seyfarth is special tax counsel, and, as such, structures the real estate opportunity funds; provides opinions on REIT prohibited transaction matters; and, creates tax-efficient investor strategies for foreign non-treaty investors in the opportunity fund. Seyfarth also advises the client regarding compliance with the complex REIT requirements in the Code.

Represented a privately held, vertically integrated, full service, commercial real estate company specializing in ownership, management, leasing and development, and office/flex space throughout the US, in a $1+ billion securitizable loan to refinance our clients existing indebtedness, including three tranches of preferred equity. The loan was secured by 140+ properties in Pennsylvania, Florida, Arizona, and Minnesota and completed in less than 60 days from term sheet to closing.

Represented a pension trust fund and benefits provider in the approximately $100 million acquisition of a development site in Compton, California. The deal was structured as a REIT acquisition, the property was in mid-development and the client assumed the GMP.

Represented a real estate investment management firm in a $140 million restructuring of existing mortgage investment limited partnership investing in commercial mortgages into a private mortgage REIT.

Represented an equity REIT as counsel relating to the formation and private placement of the REIT’s $500 million joint venture.

Represented a Fortune 100 financial services institution in the purchase from a publicly traded real estate investment trust that owns and operates shopping centers of the REIT’s 15% membership interest in its joint venture with our client that owned over 20 shopping centers valued over $1 billion.
