With a broad range of transactional experience and business acumen, Lou has been involved in numerous financings with complicated wrinkles, such as exotic collateral, different tranches of debt, acquisition financing, and real estate involvement. From the business side of representing private companies, he has the knowledge and experience on all matters requiring general counsel—raising capital, managing litigation, making an acquisition, licensing IP, entering into a lease, and workforce management.
Lou dedicates himself to clients with a wide range of needs. He has helped clients with matters such as raising capital, merging businesses, and divestments. On the lending segment, he has assisted in closing a mortgage loan on the acquisition and construction of a property to be improved with a residential apartment building with street-level retail space. Lou has also been asked to represent a lender in establishing a loan participation. With the troubled loan deals, he works with a lending client in negotiating and documenting a forbearance arrangement with the aim of restructuring the loan facilities. These examples demonstrate the variety of the types of problems that he counsels his clients to resolve.
